4.3 Order Cancellation

5. SHIPPING AND DELIVERY

We currently ship within the United States only. International shipping may be offered in the future.

5.2 Shipping Times
Estimated delivery times are provided at checkout and in your shipping confirmation email. These are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather events, natural disasters, customs, or other circumstances beyond our reasonable control.

5.3 Risk of Loss
Risk of loss and title for products pass to you upon delivery of the product to the shipping carrier. We are not liable for packages that are lost, stolen, or damaged after they have been delivered to the carrier.

5.4 Shipping Address
You are responsible for providing an accurate and complete shipping address. We are not responsible for orders shipped to an incorrect address provided by the customer. If a package is returned to us due to an incorrect address, you will be responsible for any additional shipping charges to reship the order.

17.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Quor Wellness Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, our products, or our website — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.

The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in the State of Delaware, or at another mutually agreed location, or remotely via video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.3 Class Action Waiver
YOU AND QUOR WELLNESS INC. AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST QUOR WELLNESS INC.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.

17.4 Exceptions
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of that court. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

18. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any disputes.

19. FORCE MAJEURE

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of God, war, terrorism, riots, government actions or orders, strikes, labor disputes, supply chain disruptions, shipping carrier delays, power outages, internet or telecommunications failures, or any other event beyond our reasonable control.

20. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

21. WAIVER

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Quor Wellness Inc.
